Membership Agreement

1. Scope of Services

The Locker Room agrees to provide Member with access to The Locker Room Leadership Group, an ongoing CEO leadership, accountability, and advisory group designed to provide business leaders with peer collaboration, accountability, strategic discussion, and coaching.

Membership currently includes:

• Live weekly Leadership Group calls
• Peer collaboration, discussion, and accountability
• Strategic business and leadership discussion facilitated by Brent Scott
• One individual 1:1 coaching session with Brent Scott per quarter

The specific format, structure, resources, and activities of the Leadership Group may evolve over time based on the needs of the group.

Access remains active as long as the membership is current and in good standing.

2. Term and Amount

This Agreement continues on a month-to-month basis until cancelled by either party in accordance with Section 3.

Founding Member Rate

Members accepted into The Locker Room Leadership Group as Founding Members will receive a Founding Member membership rate of $297/month following the conclusion of the complimentary Founding Member promotional period described below.

The $297/month rate is a Founding Member rate and does not represent or establish the membership rate for future non-founding members of The Locker Room Leadership Group.

Payments are automatically charged each month on the Member's established monthly renewal date.

If payment is not received within 10 days of the due date, The Locker Room reserves the right to suspend access until payment is brought current.

Founding Member Promotional Period

Founding Members will receive complimentary access to The Locker Room Leadership Group through December 31, 2026.

No membership fee will be charged for participation during the complimentary Founding Member promotional period.

Prior to the first Leadership Group call in January 2027, Founding Members will be provided with instructions to establish their recurring membership payment.

Following the conclusion of the complimentary promotional period, the Founding Member membership rate will be $297/month, charged on the Member's established monthly renewal date, unless membership is cancelled in accordance with Section 3.

The complimentary Founding Member promotional period ends December 31, 2026, regardless of the date the Member joins the Leadership Group.

3. Cancellation Policy

Member may cancel at any time with 30 days' written notice by emailing Brent@tlrnation.com with the subject line "Leadership Group Cancellation Request."

Cancellation becomes effective 30 calendar days from the date written notice is received. Any payments due within that 30-day notice period will still be processed in full.

All payments made are non-refundable.

4. Confidentiality / Non-Disclosure

Member acknowledges that participation in The Locker Room Leadership Group may provide access to confidential or proprietary information belonging to The Locker Room and to other Leadership Group members.

Member agrees not to disclose, share, copy, reproduce, or otherwise make available any Confidential Information obtained through participation in the Leadership Group during or after membership. "Confidential Information" includes, but is not limited to, The Locker Room's training materials, systems, client data, business methods, and intellectual property, as well as confidential business, financial, personnel, operational, strategic, client, or other non-public information disclosed by other Leadership Group members.

Member shall take all reasonable steps to safeguard Confidential Information from unauthorized use or disclosure. Upon termination, Member will promptly return or destroy The Locker Room's confidential or proprietary materials upon request.

5. No Solicitation

Member agrees not to directly or indirectly solicit, recruit, or attempt to solicit or recruit any current or former clients, customers, or contractors of The Locker Room for a period of twelve (12) months following termination of this Agreement.

6. Intellectual Property

All ideas, content, frameworks, systems, and materials developed and provided by The Locker Room remain the exclusive property of Cannonball Ventures, LLC. Member is granted a limited, non-transferable license to use these materials solely for their personal or company's internal business use while enrolled. Member retains ownership of any pre-existing assets created independently of this Agreement. Any materials co-created during the term ("Joint Assets") may be used by both parties for their respective business purposes.

7. Member Responsibilities

Member agrees to:

• Engage professionally and respectfully in Leadership Group discussions and activities.
• Maintain accurate and current payment information once recurring billing begins.
• Maintain the confidentiality of information shared by The Locker Room and fellow Leadership Group members.
• Comply with all Leadership Group rules and expectations established for respectful participation.
• Refrain from sharing login credentials, passwords, meeting links, materials, or other forms of access with anyone who is not an authorized Leadership Group member.
• Not copy, reproduce, or distribute The Locker Room's proprietary materials without written consent.

Member understands that membership is for one individual per enrollment and that unauthorized sharing, redistribution, or resale of materials or access may result in immediate termination of membership without refund.

8. Limitation of Liability

The Locker Room provides coaching, peer collaboration, accountability, and advisory services intended to support business growth, leadership development, and professional development. Results are not guaranteed.

The Locker Room shall not be liable for indirect, incidental, or consequential damages arising from participation in the Leadership Group.

Members remain solely responsible for their own business, financial, personnel, legal, and other professional decisions made during or as a result of participation in the Leadership Group.

9. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Wisconsin, without regard to its conflict of law provisions.

10. Acceptance of Terms

By enrolling in The Locker Room Leadership Group, Member acknowledges and agrees to be bound by all terms and conditions contained herein.

Payment submission constitutes full acceptance and serves in place of a physical signature.
